    Terms of Service

    Effective Date: April 13, 2026

    1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Digital WorkForce 360, a brand of Acquirer.AI ("Digital WorkForce 360," "we," "our," or "us"), governing your access to and use of our website, AI-powered products, and related services.

By purchasing a subscription, completing our order form, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this agreement on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use our services.

    2. Description of Services

Digital WorkForce 360 provides AI-powered business automation solutions, including:

2.1 Rachel — AI Voice Receptionist

Rachel is an artificial intelligence voice receptionist that answers inbound calls on behalf of your business 24 hours a day, 7 days a week. Rachel qualifies leads, books appointments, handles FAQs, routes urgent calls, and delivers call summaries and transcripts to designated contacts.

2.2 Scout — AI Reputation & Review Management

Scout is an AI-powered reputation management system that automates review request delivery after completed jobs, follows up with non-responding customers, monitors 50+ review platforms in real time, responds to reviews on your behalf, intercepts negative feedback before public posting, and posts top reviews to social media.

2.3 The Complete AI Growth System (Bundle)

The bundle combines Rachel and Scout into a single subscription, along with additional included features such as a website AI chatbot, full CRM and customer contact list, priority onboarding, and dedicated setup support.

    2.4 Service Modifications

We reserve the right to modify, enhance, or discontinue features of our services at any time. We will provide reasonable advance notice of material changes that negatively impact your service experience. Continued use of the services after notice constitutes acceptance of the changes.

    3. Subscriptions, Billing, and Payment

    3.1 Subscription Plans

Our services are offered on a monthly or annual subscription basis. Subscription fees are charged in advance at the beginning of each billing period. By subscribing, you authorize us to charge your payment method on a recurring basis until your subscription is cancelled.

    3.2 Pricing

    Current pricing is as follows:

    • Rachel (AI Voice Receptionist): $389/month or $3,890/year, plus a one-time $149 implementation fee
    • Scout (AI Reputation & Review System): $149/month or $1,490/year, plus a one-time $99 implementation fee
    • The Complete AI Growth System (Bundle): $479/month or $4,790/year, plus a one-time $199 implementation fee

We reserve the right to change our pricing with 30 days' advance written notice to active subscribers. Price changes take effect at the start of the next billing cycle following the notice period.

    3.3 Implementation Fee

A one-time implementation fee is charged at the time of purchase to cover account setup, AI configuration, onboarding, and initial customization. This fee is non-refundable except as provided in Section 5 of these Terms.

    3.4 Annual Plans

Annual subscriptions are billed in full at the start of the subscription term. Annual subscribers receive a discounted effective monthly rate. Annual fees are non-refundable after the 30-Day Money-Back Guarantee period described in Section 5, except where required by applicable law.

    3.5 Failed Payments

If a payment fails, we will attempt to reprocess the charge. If payment is not received within 7 days of the due date, we reserve the right to suspend access to your services until the outstanding balance is resolved. Accounts suspended for non-payment for more than 30 days may be terminated and data deleted in accordance with our data retention practices.

    3.6 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities in connection with your purchase. We will collect applicable sales tax where required by law.

    4. Demos and Trials

We may offer product demonstrations or limited trial access at our discretion. Trial periods do not require payment but may require you to provide contact and business information. At the end of a trial period, continued access requires purchase of a paid subscription. We reserve the right to terminate or modify trial offerings at any time without notice.

    5. Refund Policy and Money-Back Guarantee

    5.1 Eligibility and Request Deadline

The 30-day money-back guarantee applies only to first-time customers during the first 30 days following the original purchase. To qualify, you must request cancellation within those 30 days.

    5.2 Plan-Specific Guarantees

For the $479 Complete AI Growth System bundle, if you report that you did not see more booked jobs and more reviews and request cancellation within the period stated in Section 5.1, we will refund your first subscription payment and the $199 implementation fee.

For the $389 AI Receptionist plan, if you report that you did not see more booked jobs and request cancellation within the period stated in Section 5.1, we will refund your first subscription payment and the $149 implementation fee.

The applicable implementation fee is included in the first-period refund even if onboarding, setup, or configuration work has begun.

    5.3 Refund Process

No forms or documentary proof are required. Your timely request and report that the applicable result described in Section 5.2 was not achieved are sufficient. To request cancellation and a refund, contact us at the email address provided in Section 17 within the applicable refund window. Approved refunds will be returned to the original payment method within 5–10 business days.

    5.4 Exclusions

The guarantee does not apply to renewals or charges incurred after the first 30 days following the original purchase. After that period, all fees are non-refundable. Cancellation mid-cycle does not entitle you to a prorated refund for the remaining days in your billing period.

    6. Cancellation

You may cancel your subscription at any time by contacting us at the email listed in Section 17. Cancellations take effect at the end of the current billing period. You will retain access to your services through the end of the paid period. We do not prorate or refund partial billing periods after the money-back guarantee window has closed.

Upon cancellation, your account data will be retained for 30 days before being permanently deleted. If you wish to reactivate your account within that period, a new implementation fee may apply.

    7. Client Responsibilities and Acceptable Use

You are responsible for providing accurate, current, and complete information during onboarding and for keeping your account information up to date. You are responsible for maintaining the confidentiality of any login credentials associated with your account.

Digital WorkForce 360 is not responsible for any violations arising from your use of imported contact data.

    9. Third-Party Services and Integrations

Our services integrate with and rely upon third-party platforms including but not limited to GoHighLevel, Google Business Profile, telephony providers, and payment processors. We are not responsible for the availability, performance, or terms of these third-party services. Your use of third-party integrations is subject to those providers' own terms of service and privacy policies.

We reserve the right to change, add, or remove third-party integrations at any time based on availability or business necessity.

    10. Service Availability and Support

    10.1 Uptime

We strive to maintain high availability of our platform and AI services. However, we do not guarantee uninterrupted service. Scheduled maintenance, third-party outages, and events beyond our control may result in temporary service interruptions. We will make reasonable efforts to notify clients in advance of planned downtime.

    10.2 Customer Support

All active subscribers receive access to 24/7 customer support. Support is provided via email and designated communication channels. We will use commercially reasonable efforts to respond to support inquiries in a timely manner. Response times are not guaranteed and may vary based on request volume and complexity.

    10.3 Setup Timeline

We target a 48-hour setup window for new accounts following receipt of all required onboarding information. This timeline is a target, not a guarantee, and may be extended based on the complexity of your configuration or delays in receiving information from you.

    11. Confidentiality

Each party agrees to keep confidential any non-public, proprietary, or sensitive information disclosed by the other party in connection with the services ("Confidential Information"). Neither party will disclose the other's Confidential Information to third parties without prior written consent, except as required by law or as necessary to deliver the services. This obligation survives termination of these Terms for a period of two (2) years.

    12. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our AI products will be error-free, that call handling will be perfect in all circumstances, or that review management outcomes will meet any specific business targets. AI systems may occasionally produce imperfect or unexpected responses, and you acknowledge this inherent limitation.

Results described in our marketing materials, including revenue capture estimates and review improvement statistics, are illustrative examples based on aggregate client outcomes and are not guarantees of individual results.

    13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIGITAL WORKFORCE 360 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

    14. Indemnification

You agree to indemnify, defend, and hold harmless Digital WorkForce 360, its officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services in violation of these Terms; (b) your violation of any applicable law or regulation, including call recording and messaging laws; (c) any content or data you provide to us; or (d) any dispute between you and your customers arising from AI-handled interactions.

    15.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.

    16. General Provisions

    16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

    16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Digital WorkForce 360.

    16.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets without restriction.

All notices from you to us must be sent via email to the address listed in Section 17. We may send notices to you via email at the address on file for your account. Notices are deemed received upon transmission.
